3. Terms & Conditions

3.1 Agreement Overview

These Terms & Conditions (“Terms”) govern your use of our software (web-based, desktop, mobile) and industrial instruments (sensors, scanners, meters) (“Products/Services”). By purchasing, accessing, or using our Products/Services, you agree to be bound by these Terms and our Privacy Policy/Cookies Policy.

If you are using our Products/Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3.2 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Products/Services. For business users, your organization must be legally registered and capable of entering into contracts.

3.3 License to Use Software

We grant you a non-exclusive, non-transferable license to use our software for your internal business purposes (or personal use, if applicable) for the term specified in your purchase agreement (e.g., 1 year for subscription-based software). You may not:

  • Copy, modify, reverse-engineer, or decompile the software (except as permitted by law).

3.4 Industrial Instruments: Sale & Warranty

3.4.1 Sale Terms

When you purchase our industrial instruments (sensors, scanners, meters):

  • Payment must be made in full (or per the agreed payment schedule) before we ship the instrument.

  • Risk of loss/damage to the instrument passes to you upon delivery (title passes once payment is complete).

  • We reserve the right to cancel orders if: (i) the instrument is out of stock, (ii) you provide inaccurate payment/shipping details, or (iii) we suspect fraudulent activity.

3.4.2 Warranty

We provide a 1-year limited warranty for industrial instruments (from the date of delivery), covering defects in materials or workmanship. The warranty does not apply to:

  • Damage caused by improper use, neglect, or unauthorized repairs/modifications.

  • Normal wear and tear (e.g., sensor degradation from extended use in harsh environments).

  • Instruments used outside their specified operating conditions (see product manuals).

To claim the warranty, contact us at marketing@kochbrook.com with your order number and proof of defect (e.g., photos, test reports). We will, at our discretion, repair, replace, or refund the instrument.

3.5 User Obligations

You agree to:

  • Use our Products/Services in compliance with all applicable laws (e.g., data protection laws, export control laws for instruments shipped globally).

  • Keep your software login credentials (e.g., username, password) secure and not share them with unauthorized users.

  • Notify us immediately of any unauthorized use of your account or security breaches (e.g., a stolen scanner linked to our platform).

  • Provide accurate information when registering for software access or purchasing instruments (e.g., correct billing address, instrument usage location).

3.6 Intellectual Property (IP)

All IP rights in our Products/Services (e.g., software code, instrument designs, product manuals, trademarks) are owned by KOCH&BROOK TECHNOLOGY CO.,LIMITED or our licensors. You may not use our IP without our written consent (e.g., you may not use our logo on your website unless we approve it).

If you provide feedback, suggestions, or ideas about our Products/Services (“Feedback”), we may use that Feedback without compensation to you (e.g., to improve a sensor’s accuracy).

3.7 Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages arising from your use of our Products/Services (e.g., lost profits from a software outage, production delays from a faulty scanner).

  • Our total liability for any claim related to these Terms (e.g., a defective instrument) is limited to the amount you paid for the relevant Product/Service (e.g., the purchase price of the scanner).

  • We are not liable for damages caused by: (i) your failure to follow product instructions, (ii) third-party software/hardware used with our Products, (iii) events beyond our control (e.g., natural disasters, cyberattacks on third-party servers).

3.8 Indemnification

You agree to indemnify and hold KOCH&BROOK TECHNOLOGY CO.,LIMITED harmless from any claims, losses, damages, or expenses (including legal fees) arising from:

  • Your breach of these Terms (e.g., unauthorized sharing of software access).

  • Your improper use of our Products/Services (e.g., using a scanner to violate privacy laws).

  • Third-party claims related to your use of our Products/Services (e.g., a customer suing you for data breaches caused by your misuse of our software).

3.9 Termination

We may terminate these Terms (and your access to our Products/Services) immediately if:

  • You breach any of these Terms (e.g., non-payment, unauthorized software modification).

  • You become insolvent or enter bankruptcy proceedings.

Upon termination:

  • Your license to use the software ends (you must delete all copies of the software).

  • You must return any rented/leased instruments to us (at your cost) – failure to do so may result in additional fees.

You may terminate these Terms by not renewing your software subscription or not purchasing additional instruments (with written notice for annual contracts).

3.10 Governing Law & Disputes

These Terms are governed by English law (for UK users). For users outside the UK, local laws may apply where required by jurisdiction (e.g., EU laws for EU users).

Any disputes arising from these Terms will first be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the courts of England and Wales (or local courts in your jurisdiction if required by law).

3.11 Changes to These Terms

We may update these Terms to reflect legal changes, product updates, or business needs. We will notify you of material changes via email (at marketing@kochbrook.com, if we have your contact details) or by posting the updated Terms on our website. The “Effective Date” at the top will reflect the latest revision.

Your continued use of our Products/Services after changes take effect constitutes acceptance of the updated Terms.

3.12 Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and Cookies Policy, form the entire agreement between you and KOCH&BROOK TECHNOLOGY CO.,LIMITED (replacing any prior oral/written agreements).

  • Severability: If any provision of these Terms is found to be invalid by a court, the remaining provisions will still apply.
